Domain Name Agreement

Domain Name Selection and Registration

When you select a domain name for registration, it is important to understand that FlashCloud does not and cannot verify whether your chosen domain name or your intended use of that domain name infringes upon the legal rights of any third party. The responsibility for ensuring that your domain name selection does not violate the rights of others rests entirely with you. We strongly encourage you to investigate thoroughly whether the domain name you wish to register, or your planned use of that domain name, might infringe upon the trademark, service mark, or other legal rights of others. You should consider seeking advice from qualified legal counsel before registering domain names, particularly if the name relates to existing brands, companies, or well-known terms. You may also wish to consider obtaining trademark registration for domain names you intend to use in connection with your business to strengthen your legal position. You should understand that even after your domain name is registered, there remains a possibility that a court, arbitration panel, or other authority could order the cancellation, modification, or transfer of your domain name based on a finding that you do not have rights to use it. If FlashCloud is sued or threatened with legal action in connection with your domain name, we may turn to you to indemnify us and hold us harmless from any resulting liability. Registration of a domain name does not confer immunity from objection to either the registration or use of that domain name, nor does it establish any trademark or other intellectual property rights in the name itself. You may purchase domain name registrations for generic top-level domains, country-code top-level domains, and sponsored top-level domains through FlashCloud. At the time you place your order, we cannot guarantee that the domain name you have applied for will be successfully registered in your name or that it is capable of being registered. Domain name availability can change rapidly, and the domain you requested may become unavailable between the time you submit your order and the time processing is complete. You should not rely on the fact that you have submitted an order until you receive notification from us confirming that your domain has been registered. The registration and use of all domain names are subject to the terms and conditions of the relevant registrar and registry. These terms are incorporated by reference into this agreement, and you agree to comply with them. In case of any discrepancy between this Domain Name Agreement and the applicable registrar or registry terms, the registrar or registry terms shall prevail. FlashCloud bears no responsibility if a registrar or registry refuses to register a domain name for any reason. Once you register a domain name through FlashCloud or transfer a domain to FlashCloud, you will be able to manage the domain through your Client Area. Management capabilities include updating contact information, modifying nameserver settings, enabling or disabling automatic renewal, managing ID protection settings, and initiating transfers to other registrars. FlashCloud reserves the right, in our sole discretion, to refuse to register your chosen domain name or to delete your domain name within thirty calendar days of receiving your payment. If we exercise this right, we will refund the applicable fees you have paid. You agree that FlashCloud shall not be liable to you for any loss or damages that may result from our refusal to register or our decision to delete your domain name.

Fees, Billing, and Renewal

The fee for domain name registration varies depending on the top-level domain you select. Current pricing is displayed during the registration and renewal process on our website. Prices are subject to change without notice, and the price in effect at the time you place your order will apply to that order. All domain registration and renewal fees are non-refundable. Promotional pricing and sale prices apply only to new registrations unless explicitly stated otherwise and do not automatically apply to domain transfers or renewals. The maximum registration and renewal periods available vary depending on the top-level domain and its respective registry. Certain hosting plans may include a one-year domain name registration credit for select top-level domains. A maximum of one included domain credit is provided per FlashCloud account. The credit must be used within the first three calendar months of your eligible plan signup and is not available during trial periods. If you downgrade or cancel your hosting plan before the domain registration would otherwise expire, you will be charged for the domain at the then-current non-promotional rate. Included domain credits cannot be combined with other promotions or offers, and the list of eligible domain extensions for included credits is subject to change without notice. Domain registrations are set to automatically renew upon expiration by default. When automatic renewal is enabled, your payment method on file will be charged for future renewals. Automatic renewal billing occurs thirty-one days before the expiration date to ensure there is sufficient time to process the renewal before the domain expires. If the billing attempt is unsuccessful, the automatic renewal status will be changed to manual, and you will receive an email notification. If automatic renewal billing fails, you must manually re-enable automatic renewal after updating your payment information. You may change your renewal settings at any time through your Client Area by navigating to Domain Management and changing the renewal status to "Do Not Renew" or "Notify Before Expiration" if you do not wish your domain to renew automatically. If a domain expires, it enters a series of phases before being released for public registration. During the first forty-five days following expiration, known as the Auto-Renew Grace Period, FlashCloud will retain the expired domain as a courtesy. During this grace period, the domain may be pointed to a parking page that displays advertisements, and the WHOIS information may be updated to remove you as the registrant, though you retain the right to renew or redeem the domain. You may renew the domain at the standard renewal price during this grace period. Following the grace period, the domain enters redemption status for approximately thirty days. During redemption, the domain is inaccessible and cannot be transferred. To recover a domain in redemption status, you must pay a redemption fee, which typically ranges from one hundred to three hundred dollars or more depending on the top-level domain, plus the standard renewal fee. Domain credits and vouchers cannot be applied toward redemption costs. If the domain is not redeemed, it enters pending delete status, during which time the domain is inaccessible and cannot be recovered by any means. After pending delete expires, typically after five days, the domain is released and becomes available for public registration by anyone. FlashCloud sends expiration reminder emails to the email address in your contact preferences and to the email address of the domain registrant. Reminders are typically sent at least once per month prior to expiration, at least once per week prior to expiration, and at least once per week after expiration. You are responsible for ensuring that your contact information is current and that you receive and read these notifications.

Registrant Information and ICANN Verification

As part of the domain registration process, you are required to provide certain information to us. We process this information in accordance with our Privacy Policy. By submitting an order for domain name registration or renewal, you represent and warrant that all information and supporting documentation you provide is true, complete, correct, and not misleading in any way. You represent that you are submitting the order in good faith and that you are not registering the domain name for any unlawful purpose. You represent that the registration does not infringe upon the rights of any third party. If the registry has prescribed eligibility criteria for the top-level domain you are registering, you represent that you meet those criteria and will continue to meet them for the duration of the registration. In accordance with ICANN's Registrar Accreditation Agreement, FlashCloud or our registrar partner will send you a verification request to confirm your WHOIS contact information for all new domain registrations and whenever you modify the registrant contact information. The verification email will be sent from a FlashCloud or registrar email address, and you have a fifteen-day window from the time of registration or contact change to verify your email address by clicking the verification link. After fifteen days, domains associated with unverified contact information will be suspended and taken offline until verification is complete. If you provide us with information about a third party in connection with a domain registration, you represent and warrant that you have the authority to bind that third party to these terms and that you have received their explicit prior consent to the disclosure and use of their information for the purposes of domain registration. The information you provide determines who is listed as the domain name holder, also known as the registrant. For non-expired domain names registered through FlashCloud, this information may be updated through your Client Area, subject to availability and registry requirements. It is important to understand that domain name registration confers an exclusive right to use the domain name for a particular duration, but it does not confer any proprietary right or trademark protection for you or any other party. You are solely responsible for providing accurate and up-to-date contact information, promptly updating that information as necessary, and responding to inquiries from FlashCloud or our registrar within five business days of receipt. We shall not accept responsibility for any cancellation or refusal to renew a domain name by the registrar or registry that results from your failure to provide accurate information or to respond to inquiries. Willful provision of inaccurate or unreliable WHOIS or account information, willful failure to promptly update information when it changes, or failure to respond to inquiries regarding the accuracy of your information within fifteen calendar days constitutes a violation of these terms and may result in suspension of your domain, cancellation of your domain registration, or termination of your FlashCloud services.

Domain Transfers

You may change the registrar of record for an existing domain name in accordance with the transfer policies and requirements of the relevant registry. Only the domain name holder or an authorized representative of the domain name holder may initiate a transfer request. By purchasing domain transfer services from FlashCloud, you represent and warrant that you are the domain name holder or that you have been duly authorized by the domain name holder to initiate the transfer. By using our services, you authorize FlashCloud to act as your designated agent to approve each change of registrant on your behalf, as that term is defined in ICANN's Transfer Policy. Per ICANN's Transfer Policy, a sixty-day transfer lock will be applied to your domain following any change of registrant. A change of registrant includes changes to the registrant name, organization, or email address, as well as enabling or disabling ID protection or privacy services. You may opt out of the sixty-day transfer lock before making changes through your Client Area. By opting out, you agree that both the account owner and domain registrant have consented to the opt-out, that FlashCloud is not responsible for any security issues arising from your decision to opt out, and that the opt-out applies only to the specific domain name in question. The information required to initiate a domain name transfer is collected on the respective order form. We may require an authorization code, also known as an EPP code or transfer key, from your current registrar. We may require additional documentation confirming that you are the domain name holder. For transfers involving a change of registrant, we may require appropriate authorization from both the prior and new registrant. There are circumstances under which you may not transfer your domain name. You may not transfer during a pending UDRP administrative proceeding or for fifteen business days after a UDRP proceeding concludes. You may not transfer during a pending court proceeding related to the domain unless the new holder agrees to be bound by the outcome of the proceeding. For most top-level domains, you may not transfer within sixty days of initial registration or within sixty days of a previous transfer. Upon successful completion of a registrar transfer request to FlashCloud, our registrar partner immediately becomes the registrar of record. Any domain transferred to FlashCloud during pending legal proceedings remains subject to the dispute policy of the originating registrar until such proceedings are resolved.

ID Protection Services

If you have ordered ID protection services and such services are available for your domain's top-level domain, FlashCloud will provide private domain name registration services that mask your registrant information from public WHOIS records. When ID protection is enabled, the proxy service name is displayed as the registrant instead of your name, and proxy contact information replaces your address, phone number, and email address for all contacts. Your nameserver settings and domain creation and update dates remain visible and unchanged. Some top-level domains are not eligible for ID protection services due to registry requirements. Examples include .us domains, which have nexus requirements that mandate disclosure of registrant information, .io domains, which do not permit privacy services, and certain country-code top-level domains with local presence requirements. A current list of ineligible top-level domains is available in our knowledge base. Even with ID protection enabled, you retain all rights and benefits of domain registration. You retain the right to sell, transfer, cancel, or assign your domain, though doing so will result in cancellation of ID protection. You retain the right to renew your domain, control your nameserver and DNS settings, and cancel ID protection at any time, which will restore your personal information to the public WHOIS record. By using ID protection services, you agree to comply with FlashCloud's Terms of Service and Acceptable Use Policy, to keep your actual domain name contact information accurate and up to date, not to use the services to evade any legal, registry, ICANN, or other requirement, to respond to correspondence forwarded to you within five business days, and not to use ID protection to engage in or mask illegal activities. Since proxy contact information is displayed publicly instead of your actual information, correspondence directed to the domain registrant will be received by the proxy service. Email correspondence will be forwarded to your actual email address through a unique proxy email address. This forwarding email address must remain active and must not bounce emails. Physical mail will only be forwarded digitally if it clearly involves a legal issue and identifies you or your account, and other mail may be discarded or returned. Failure to respond to correspondence regarding policy compliance or abuse complaints may result in termination of ID protection services. FlashCloud may suspend, terminate, or reveal your identity by reverting WHOIS to your personal information or disclosing your information to third parties under certain circumstances. These circumstances include compliance with ICANN requirements or dispute resolution policies, avoiding civil or criminal legal liability for FlashCloud, situations where you are using services to engage in or mask illegal activities, violations of FlashCloud Terms of Service or this agreement, protecting the integrity of the domain registry, compliance with law enforcement requests including subpoenas, warrants, court orders, or government requests, allegations that your domain violates third-party intellectual property rights, resolution of third-party claims, your failure to respond to forwarded correspondence, your failure to maintain accurate underlying contact information, and situations where FlashCloud is named in legal proceedings related to your domain. ID protection does not act as a shield from legal liability. Upon receipt of reasonable evidence of actionable harm, identifying information may be provided to third parties pursuing legitimate claims. You acknowledge that ID protection is provided as available by the respective registrar, that FlashCloud shall not be liable for inadvertent disclosure or theft of your information, and that FlashCloud is not responsible for loss or liability resulting from disclosure under the circumstances described above.

Uniform Domain Name Dispute Resolution Policy

The Uniform Domain Name Dispute Resolution Policy, commonly known as the UDRP, has been adopted by ICANN and is incorporated by reference into this agreement. The UDRP sets forth terms and conditions for resolving disputes between you and any party other than FlashCloud over the registration and use of a domain name. By registering, maintaining, or renewing a domain name through FlashCloud, you represent and warrant that your registration information is complete and accurate, that to your knowledge the registration will not infringe upon the rights of any third party, that you are not registering the domain for an unlawful purpose, and that you will not knowingly use the domain in violation of applicable laws. It is your responsibility to determine whether your domain name registration infringes or violates someone else's rights. You are required to submit to a mandatory administrative proceeding under the UDRP if a complainant asserts that your domain name is identical or confusingly similar to a trademark or service mark in which the complainant has rights, that you have no rights or legitimate interests in respect of the domain name, and that your domain name has been registered and is being used in bad faith. The complainant must prove all three of these elements to prevail. Evidence that may demonstrate bad faith registration and use includes circumstances indicating that you registered the domain primarily to sell it to the trademark owner or a competitor for profit exceeding your out-of-pocket costs, that you registered the domain to prevent the trademark owner from reflecting the mark in a corresponding domain name as part of a pattern of such conduct, that you registered the domain primarily to disrupt a competitor's business, or that you are intentionally attempting to attract internet users to your website for commercial gain by creating confusion with the complainant's mark. You may demonstrate legitimate rights or interests in a domain name by showing that before receiving notice of the dispute you used or made demonstrable preparations to use the domain in connection with a bona fide offering of goods or services, that you have been commonly known by the domain name, or that you are making legitimate noncommercial or fair use of the domain without intent to misleadingly divert consumers or to tarnish the trademark at issue. The remedies available under the UDRP are limited to cancellation of the domain registration or transfer of the domain to the complainant. The UDRP does not provide for monetary damages. If an administrative panel decides that your domain should be cancelled or transferred, FlashCloud will wait ten business days before implementing the decision. If you file a lawsuit against the complainant within that ten-day period and provide FlashCloud with documentation of the filing, implementation of the decision will be stayed pending resolution of the lawsuit. FlashCloud will not participate in the administration or conduct of UDRP proceedings and will not be liable for decisions made by administrative panels. The mandatory administrative proceeding under the UDRP does not prevent either party from submitting the dispute to a court of competent jurisdiction for independent resolution before, during, or after the UDRP proceeding.

Additional Dispute and Cancellation Provisions

FlashCloud will not participate in any dispute between you and any third party regarding your domain registration. You shall not name FlashCloud as a party in any such proceeding. If FlashCloud is named in any proceeding, we reserve the right to raise any and all defenses we deem appropriate. FlashCloud or our registrar partner may cancel, transfer, lock, or otherwise modify a domain registration upon your written or electronic instruction, upon receipt of a court order or arbitral decision requiring such action, upon receipt of an administrative panel decision under the UDRP, to correct registration errors, to comply with ICANN specifications or policies, for non-payment of fees, to comply with applicable law or government orders, to stop violations of Terms of Service or policies, or as required by registry agreement terms. FlashCloud will not cancel, transfer, activate, deactivate, or otherwise change the status of a domain during a pending UDRP proceeding except as required by the UDRP or by court order.

TLD-Specific Requirements

Certain top-level domains have additional terms, eligibility requirements, or restrictions beyond those that apply generally. By registering such domains, you certify that you have read and agree to any applicable terms specific to that domain extension. For .us domains, registrants must meet the United States nexus requirement, meaning they must be a U.S. citizen or permanent resident, an entity formed under the laws of a U.S. state or territory, or a foreign entity with a bona fide presence in the United States. WHOIS privacy services are not permitted for .us domains, and all WHOIS data is publicly available. For .io domains, WHOIS privacy services are not permitted per registry policy. For .eu domains, registrants must be located within the European Union or European Economic Area. By registering a .eu domain, you agree that the registry may transfer data to third parties as required by alternative dispute resolution providers or WHOIS policy. For .ca domains, registrants must agree to the Canadian Internet Registration Authority registrant agreement and must meet Canadian Presence Requirements as defined by CIRA. For .dev and .app domains, HTTPS is required for all websites. These top-level domains are on the HSTS preload list, meaning browsers will not connect to websites on these domains without a valid SSL/TLS certificate. You must configure SSL/TLS before your website will function in browsers. Certain top-level domains such as .law, .physio, and .archi have professional eligibility requirements. You must meet and maintain the specified eligibility criteria for the duration of your registration. This list is not exhaustive, and additional top-level domain specific terms are available during the registration process and in our knowledge base.

Parked Domains

All domain names registered through FlashCloud that are parked or otherwise not immediately associated with a FlashCloud hosting plan will be automatically pointed to a "Coming Soon" web page. This page informs visitors that the registrant has recently registered the domain name through FlashCloud. The Coming Soon page may be modified at any time by FlashCloud without prior notice, may include links to additional products and services offered by FlashCloud, and may display commercial search engines, search results, or advertisements. During domain expiration, domains may also be pointed to parking pages that display advertisements.

Limitation of Liability

You agree that FlashCloud's entire liability, and your exclusive remedy, with respect to domain services is limited to the amount you paid for such services. FlashCloud shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from loss of registration and use of your domain name, interruption of business, access delays or interruptions, data non-delivery or misdelivery, unauthorized use of your account credentials, errors or omissions in our services, acts of God or force majeure, inadvertent disclosure of your information, failure to renew a domain for any reason, or actions taken by registries or registrars. In no event shall FlashCloud's maximum liability exceed five hundred dollars.

Indemnification

You agree to release, indemnify, and hold FlashCloud, its affiliates, registrar partners, registry operators, and their respective officers, directors, employees, and agents harmless from all liabilities, claims, and expenses, including reasonable attorneys' fees, relating to this agreement or services provided hereunder, your use of domain names, infringement of intellectual property or other rights, violation of Terms of Service or policies, and claims arising from disputes over your domain name. This indemnification obligation survives termination of this agreement.

Modifications

FlashCloud may modify this agreement at any time. Changes will be posted on our website and will be effective upon posting or as otherwise specified. You agree to review the agreement periodically, and your continued use of services after modifications constitutes acceptance of those modifications. FlashCloud may change the services provided under this agreement at any time. We will provide notice of material changes that negatively affect your use of services. If you do not agree with modifications, your sole remedy is to cancel your services, though domain fees already paid are not refundable.

General Provisions

This agreement shall be governed by and interpreted in accordance with the laws of the State of Delaware and applicable federal laws of the United States, without reference to principles of conflict of laws. Any action relating to this agreement must be brought in state or federal courts located in Delaware, and you irrevocably consent to the jurisdiction of such courts. If any provision of this agreement is found to be unenforceable, the remaining provisions continue in full force and effect. This agreement, together with referenced policies and documents, constitutes the entire agreement between you and FlashCloud regarding domain services. If an agent such as an ISP, employee, or other representative purchased services on your behalf, you are bound as the principal by all terms of this agreement. You attest that you are of legal age, being eighteen years or older, to enter into this agreement.

FlashCloud works with various ICANN-accredited domain registrars, and the applicable registrar agreement will be provided during the domain registration process. Each top-level domain is subject to the policies of its respective registry, and those policies are incorporated by reference and will be provided during registration.
